Hilltops Hosts Refer — Program Terms

These terms govern the Hilltops Hosts Refer program. They apply in addition to, and are subordinate to, the Business Portal Terms of Service (particularly section 7.2). If anything in these program terms conflicts with the Business Portal Terms, the Business Portal Terms prevail.

Hilltops App PTY LTD (ACN 698 610 007) operates the Hilltops Hosts Refer program (the "Program"). In these terms, "Hilltops", "we", "our", and "us" refer to Hilltops App PTY LTD.

The Program is a marketing initiative that awards promotional credit to business accounts that introduce other operators to Hilltops or that reach defined growth milestones. The Program is offered "as is", at Hilltops' sole discretion, and may be varied, suspended, or withdrawn at any time.

1. Foundational stance

Promote credit awarded under the Program ("Awarded Credit") is a promotional inducement. It is not money, not a payment for goods or services, not redeemable for cash, not transferable, and not refundable under any circumstances. Statutory rights under the Australian Consumer Law that cannot be excluded by contract are not affected — but the consumer guarantees regime attaches to goods and services Hilltops supplies for valuable consideration, not to gratuitous promotional credit.

2. Definitions

  • "Awarded Credit"means promote credit added to a business account's wallet under the Program. Awarded Credit is recorded in the wallet ledger as an adjustmententry (labelled "Adjustment" on the Balance page) with a description identifying the Award.
  • "Purchased Credit" means credit acquired by a business account through a paid top-up. Purchased Credit is governed by section 7.1 of the Business Portal Terms and is not subject to the Program forfeiture rules in this document.
  • "Referrer" means an approved business account whose operator nominated a Referred Account.
  • "Referred Account" means a business account that listed the Referrer when applying for a Hilltops business account.
  • "Qualifying Event" means the event that triggers an Award — for example the Referred Account publishing its first event, a business account crossing a follower milestone, or a business account reaching a QR scan milestone.
  • "Unique Scan" means a scan of the QR code generated for a business account inside the Hilltops portal, by a device that has not scanned the same QR in the previous thirty (30) days. Scans of QR codes notgenerated within the Hilltops portal, scans from devices identified as bots, and scans from devices Hilltops reasonably believes belong to the account's own staff are not Unique Scans. Unique Scans are counted on a best-effort basis using anonymised device-level signals and may be subject to natural variance, particularly on mobile networks where the originating IP address can change between scans.
  • "Meaningful Feedback" means feedback submitted by an operator that Hilltops, in its sole discretion, determines has materially informed a product change, fixed a defect, contributed to a research artefact (such as a published case study or user-interview write-up), or otherwise produced measurable benefit to the platform. Routine support enquiries, repeat reports of a known issue, and feature wishlists without accompanying detail are not Meaningful Feedback.
  • "Award" means a grant of Awarded Credit made under the Program.

3. Characteristics of Awarded Credit

  1. Awarded Credit has no cash value. It cannot be redeemed, exchanged, or paid out as money.
  2. Awarded Credit is non-refundable. Even where a refund of Purchased Credit is owed to you under section 7.1 of the Business Portal Terms or under the Australian Consumer Law, Awarded Credit is excluded from that refund calculation.
  3. Awarded Credit is non-transferable between business accounts, between users, or between Hilltops products.
  4. Awarded Credit is for Hilltops platform use only. It is spendable exclusively on Promote functionality (notification broadcasts and any successor product) inside the Hilltops platform. It may not be applied against subscriptions, fees, or any other Hilltops charge, and it may not be redeemed, exchanged, or used outside the Hilltops platform under any circumstances.
  5. Awarded Credit does not expirewhile your business account remains open and in good standing. This matches Hilltops' wallet rule across the platform (see the Balance page). Hilltops reserves the right under section 7 to introduce an expiry for new Awards granted after a future change to these terms; any such change applies prospectively only and does not affect Awards already granted.
  6. Where your wallet contains both Awarded Credit and Purchased Credit, Awarded Credit is spent first. This is to preserve your Purchased balance, which is governed separately under the Business Portal Terms.
  7. If your business account is closed — voluntarily by you or by Hilltops under section 8 of the Business Portal Terms — all Awarded Credit is forfeited at closure. Purchased Credit is treated under section 7.1 / section 8.3 of the Business Portal Terms.
  8. If your business account is suspended by Hilltops for breach, all Awarded Credit is immediately forfeited and will not be reinstated even if the suspension is later lifted.
  9. If Hilltops permanently discontinues the platform, Awarded Credit is forfeited on the discontinuation date without compensation. Where practicable, Hilltops will give at least thirty (30) days' notice and an opportunity to spend Awarded Credit before that date. Treatment of any Purchased Credit in the same wallet is governed by section 8.4 of the Business Portal Terms.

4. Awards available

The Program currently offers four Awards. Hilltops may add, remove, or change Awards at any time; the version of these terms in force on the date a Qualifying Event occurs is the version that applies. All amounts are in Australian dollars.

4.1 Refer-a-Host Award

AUD $200 in Awarded Creditis granted to the Referrer when a Referred Account is approved by Hilltops and publishes its first event, provided all eligibility criteria in section 5 are met (including the fit assessment in section 5.1) and the Referred Account's first event is published within sixty (60) days of approval.

4.2 Follower Milestone Awards

Awarded Credit is granted to a business account each time it first crosses one of the following follower milestones:

  • 50 followers — AUD $250
  • 150 followers — AUD $250
  • 500 followers — AUD $500

Each milestone is paid once per account, regardless of any subsequent increase or decrease in follower count. Milestones are granted only where the followers were acquired organically; Hilltops may decline an Award where it reasonably suspects fake, paid-for, or artificially inflated followers.

4.3 QR Scan Awards

Awarded Credit is granted to a business account each time it first records one of the following Unique Scan milestones of its platform-issued QR code:

  • 100 Unique Scans — AUD $100
  • 500 Unique Scans — AUD $250

Only scans of the QR code generated for the account within the Hilltops portal count. Scans of any other QR — including third-party, hand-made, or screen-shotted QRs — are not Unique Scans for the purpose of this Award. Each milestone is paid once per account.

4.4 Feedback Awards

Awarded Credit is granted to a business account when its operator provides Meaningful Feedback to Hilltops. The amount of each Award is at Hilltops' sole discretion and is calibrated to the impact of the contribution:

  • AUD $25 for an acknowledged contribution that informs a product change.
  • Up to AUD $100 for exceptional contributions — for example a detailed bug report leading to a defect fix, a recorded user interview, or a written case study.

Feedback may be submitted by email to support@hilltops.app or as a reply to any Hilltops communication. There is no fixed cap on the number of Feedback Awards a single account may earn, but Hilltops will not grant repeat Awards for substantially similar contributions.

Hilltops' decision on whether feedback is Meaningful, and the amount of any Feedback Award, is final and not subject to appeal. Submitting feedback does not, by itself, entitle the operator to an Award.

4.5 Stacking and per-account caps

The four Awards stack — a single business account may earn from all four tracks. The following caps apply:

  • A Referred Account can generate at most one Refer-a-Host Award in its lifetime, regardless of how many parties claim to have introduced it to Hilltops.
  • Each Follower Milestone is paid once per account; re-crossing a milestone after a follower-count dip does not trigger a further Award.
  • Each QR Scan milestone is paid once per account.
  • Feedback Awards have no fixed cap but are granted at Hilltops' sole discretion (see section 4.4).

5. Eligibility

A Referrer earns an Award only if all of the following are true at the time the Qualifying Event occurs:

  1. Both the Referrer and the Referred Account hold an approved business account.
  2. The Referred Account named the Referrer in the application's "referred by" field, and the link was logged and verified by Hilltops before approval.
  3. The Referred Account is a social event organiser — for example a bar, club, nightlife venue, live music venue, promoter, or experience host — as determined by Hilltops in its sole discretion. Pure venue listings without events, consumer accounts, and accounts operating outside Australia are not eligible.
  4. The Qualifying Event occurs within sixty (60) days of approval for the Refer-a-Host Award, and within ninety (90) days of approval for the 50-Follower Milestone Award.
  5. Hilltops has not, in its reasonable judgement, identified abuse signals associated with the referral or the account.

5.1 Fit assessment and Hilltops' right to disqualify

The Refer-a-Host Award is reserved for Referred Accounts that are a fit for Hilltops' network of socially compatible operators — operators whose offering is built around regular, public-facing or inclusive-members social events. Examples of fit include bars with event programmes, sports clubs running social leagues, live music venues, event promoters, and experience hosts. Examples of poor fit include private-hire-only venues, table-service-only restaurants, corporate-only operations, and consumer or B2B services with no social event programme.

Approval of a Referred Account does not by itself entitle the Referrer to a Refer-a-Host Award. Hilltops may, in its sole and absolute discretion, determine that a Referred Account is a poor fit for the Program — whether or not the Referred Account was approved as a Hilltops business account — and decline to grant the Award on that basis.

The fit assessment is conducted at the time of approval and again at the time the Referred Account publishes its first event. Hilltops may also revoke a Refer-a-Host Award that has already been paid if Hilltops subsequently determines, on the basis of new information, that the Referred Account is a poor fit; revocation in such cases is handled under section 6 (Forfeiture).

The fit assessment is a marketing-program judgement, not a comment on the Referred Account's quality, suitability as a Hilltops customer, or compliance with the Business Portal Terms. Hilltops will not disclose the specific fit-assessment grounds for any individual decision.

5.2 Hard exclusions

  • Hilltops employees, contractors, agents, and their immediate family members are not eligible as Referrers or Referred Accounts.
  • Self-referrals, circular referrals, and pairs of accounts under common control are not eligible. "Common control" includes shared directors, shared ABN, shared payment method, or a single operator running multiple business accounts.
  • Accounts in any rejection, suspension, dispute, or chargeback state are not eligible until the issue is resolved.
  • Hilltops may impose additional eligibility checks where it reasonably suspects abuse.

6. Forfeiture

Awarded Credit is forfeited immediately and without notice if Hilltops reasonably determines that:

  1. The referral was procured by misrepresentation, fake accounts, fake followers, paid-for followers, bot activity, or any other artificial inflation.
  2. The Referrer or the Referred Account materially breached the Business Portal Terms, the Community Guidelines, or applicable law.
  3. A payment chargeback, fraud claim, or reversed transaction is associated with either account.
  4. Hilltops is required to forfeit the Award by law, by regulator direction, or by court order.

Forfeiture is recorded in the wallet ledger as a negative adjustmententry (labelled "Adjustment" on the Balance page) with a description identifying the reason, so that the operator can see what was forfeited and why. Forfeited Awards may not be appealed except by the dispute-resolution process in the Business Portal Terms.

7. Hilltops' rights

Hilltops may, at any time and at its sole discretion:

  1. Vary the Award amounts, eligibility criteria, milestones, or any other term of the Program — including introducing an expiry on new Awards granted after the variation takes effect;
  2. Pause or close the Program in whole, or for any region, category, or account cohort;
  3. Decline to grant any specific Award, even where the stated criteria appear to be met;
  4. Investigate any referral and request supporting information; failure to respond within fourteen (14) days is grounds to decline the Award;
  5. Reverse Awards already granted in cases of fraud, error, breach, or forfeiture.

Variations apply prospectively. Awards already granted and not forfeited are not retrospectively reduced by a Program change — but they remain subject to the non-refundability and forfeiture rules in force at the time of grant.

8. Australian Consumer Law

Nothing in these terms excludes or limits any non-excludable right you have under the Australian Consumer Law or other applicable statute.

Awarded Credit is granted to you without consideration. On that basis, the consumer guarantees regime in the Australian Consumer Law does not attach to it in the same way it attaches to goods or services that you purchase. Where a non-excludable remedy nevertheless applies, Hilltops may satisfy that remedy by re-supplying equivalent Awarded Credit rather than by paying money.

Hilltops will describe the Program accurately and will not engage in misleading or deceptive conduct in its marketing. We require Referrers not to misrepresent the Program when introducing operators to Hilltops.

9. Anti-abuse and fair dealing

  1. Referrers must not pay, kick back, or otherwise compensate a Referred Account to induce the referral. The Award belongs to the Referrer alone.
  2. Referrers must not make false claims about Hilltops, its features, its pricing, or its policies to procure a referral.
  3. Coordinated referral rings, sockpuppet accounts, account farming, and similar arrangements are grounds for permanent ban from the Program and from Hilltops generally.
  4. Referrals must not be made via unsolicited commercial messages in breach of the Spam Act 2003(Cth) or any equivalent law. The Referrer is responsible for the lawfulness of their outreach; Hilltops is not liable for a Referrer's breach.

10. Tax treatment

Awarded Credit is a platform credit— a non-monetary promotional inducement, equivalent in substance to a discount voucher applied to future Hilltops services. On that basis, Hilltops' position is that Awarded Credit is not assessable income in the hands of the recipient, and not subject to GST at the point of grant, because no taxable supply has been made.

Awarded Credit is never paid in cash, never converted to cash, and cannot be redeemed for anything other than Promote functionality on the Hilltops platform. Hilltops does not issue a tax invoice for Awarded Credit, because the grant is not a supply.

When Awarded Credit is later applied to a Promote broadcast, any tax invoice issued reflects the net price actually paid by the operator (Purchased Credit or other consideration), with the Awarded Credit treated as a discount on that price.

The treatment described above is Hilltops' position and is not tax advice. Your circumstances may differ. You remain responsible for your own tax position and any reporting obligations to the Australian Taxation Office; if you are unsure, obtain independent advice.

11. Privacy

When you nominate a Referrer in your application, that nomination is collected and handled under the Privacy Policy. We may disclose to the nominated Referrer that you named them — this is necessary to administer the Award. We will not disclose your other application information to the Referrer.

12. Records and audit

Every Award and every forfeiture is recorded in the wallet ledger. We retain Program records for at least seven (7) years from the date of the transaction to meet ATO substantiation requirements and to defend the integrity of the Program.

Hilltops may audit any Referrer's account activity at any time. Refusing or failing to cooperate with a reasonable audit is grounds for declining or forfeiting an Award.

13. Liability

To the maximum extent permitted by law, Hilltops' total liability to you under or in connection with the Program is limited to the value of Awarded Credit that you could have lawfully spent in the thirty (30) days immediately preceding the event giving rise to the claim, and in any case does not exceed AUD $100.

This section does not limit your rights under the Australian Consumer Law or any other right that cannot be excluded by contract.

14. Variation, withdrawal, governing law

Hilltops may amend these Program terms at any time by updating this page and posting a notice on the Business Portal dashboard. The "Last updated" date above is the operative version. Where practicable, material changes will be emailed to active Program participants at least fourteen (14) days before they take effect.

These Program terms are governed by the laws of Victoria, Australia. You and Hilltops submit to the non-exclusive jurisdiction of the courts of Victoria for the resolution of any disputes arising from the Program.

By participating in the Program — including by nominating a Referrer in your application or by accepting an Award — you acknowledge that you have read and agree to these Program terms, as supplemented by the Business Portal Terms of Service and the Privacy Policy.
